Welcome to Cryptofogs. These Terms and Conditions ("Terms") govern your use of our services and website. By engaging with our business, whether through project discussions, contracts, or actual deliverables, you agree to the expectations and obligations outlined here. If you do not accept these Terms, please refrain from using our services.

We specialise in bespoke digital solutions, including:

• Mobile App Development
• Business Website Design & Development
• Custom Web App Development
• AI Automation using n8n AI Agents
• Microsoft Dynamics 365 Implementation
• Microsoft Power BI Integration
• Microsoft CRM Services

Each project or service engagement is defined by a separate agreement, proposal, or statement of work ("SOW"). These documents outline the specific features, deadlines, deliverables, and responsibilities of both Cryptofogs and the client.

Unless explicitly stated otherwise, all services are provided on a work-for-hire basis with a clear delivery scope. Any additional work, scope changes, or revisions may incur additional costs and require a formal change order.

Working with Cryptofogs is a partnership. While we bring technical expertise, clients are expected to:

• 1. Provide timely access to assets, logins, and documentation necessary for project execution.
• 2. Appoint a dedicated point of contact responsible to make decisions and approve deliverables.
• 3. Review and respond to drafts, prototypes, or staging links within mutually agreed timelines.
• 4. Ensure content or data supplied is complete, accurate, and legally owned.
• 5. Settle invoices according to the agreed payment terms.

Missed deadlines, delayed feedback, or scope ambiguities on the client side can lead to timeline shifts or cost adjustments.

Unless otherwise negotiated, Cryptofogs retains full ownership of all intellectual property, including code, configurations, designs, or workflows, until full payment is received.

Once payment is complete, the client receives a non-exclusive, non-transferable license to use the deliverables strictly for internal business operations. Any third-party tools or libraries integrated into your solution are governed by their own licenses.

Cryptofogs reserves the right to showcase completed work (excluding confidential data) in our portfolio unless explicitly agreed otherwise.

Both parties agree to maintain the confidentiality of all proprietary, technical, or business information exchanged during the course of the project.

We will not disclose, reuse, or exploit any information or data shared by the client unless necessary to fulfil the services or legally compelled to do so. Similarly, we expect clients to treat our methods, code, and internal practices with the same discretion.

All projects are subject to an agreed-upon payment schedule, typically tied to milestones, deliverables, or calendar dates.

• 1. Invoices are due within 30 days unless otherwise stated.
• 2. Late payments may incur a 1.5% monthly interest fee or result in paused services.
• 3. Payments made are non-refundable once a project phase has commenced.

Cryptofogs reserves the right to suspend access to environments or halt work in cases of non-payment.

We take pride in delivering reliable, scalable, and secure solutions. However, all services are provided "as is" unless otherwise documented in writing.

Cryptofogs does not guarantee uninterrupted service, compatibility with all systems, or that software will be entirely error-free. Any identified bugs or performance issues post-launch will be addressed in accordance with the agreed support terms.

In no event shall Cryptofogs be held liable for any indirect, incidental, special, or consequential damages; including loss of revenue, data, or operational downtime, arising out of or related to our services.

Our total liability, if any, is limited to the amount paid by the client for the specific service or project within the past twelve (12) months.

Cryptofogs often implements and configures third-party platforms including but not limited to Microsoft Dynamics 365, Power BI, and n8n.

We are not responsible for outages, feature changes, pricing shifts, or data loss resulting from these third-party services. Clients are responsible for maintaining any licenses or subscriptions required to access them.

• All completed work to date will be invoiced and must be paid in full.
• Any deposits or advance payments are non-refundable.
• Cryptofogs will provide all deliverables completed up to the date of termination.

In the event of breach (e.g., non-payment, misconduct), Cryptofogs may terminate the agreement with immediate effect.

These Terms are governed by and construed in accordance with the laws of the United States of America. Any legal proceedings will be handled in the courts of that jurisdiction.

Cryptofogs may update or revise these Terms from time to time. The latest version will always be available on our website. Continued use of our services implies acceptance of the updated Terms.
